These Terms & Conditions (“Terms”) govern your access to and use of the Davix website located at https://davix.dev and all related sub-pages (the “Site”), as well as your purchase and use of the Davix AI Engine WordPress plugin and related services (collectively, the “Service” or the “Plugin”).

By accessing the Site, purchasing a license, or using the Plugin, you agree to be bound by these Terms. If you do not agree, you must not use the Site or the Plugin.

Note: This document is a general template and does not constitute legal advice. You should review and adapt it with your own legal advisor.


1. Definitions

  • “Davix”, “we”, “us”, “our” – The owner of the Davix brand and the Site: [Your Legal Company Name], registered in [Your Country].

  • “You”, “Customer”, “User” – Any person or entity that accesses the Site, purchases a license, or uses the Plugin.

  • “Plugin” or “Davix AI Engine” – The Davix AI Engine WordPress plugin, including Free and Pro features, documentation, configuration files, and related assets.

  • “License” – The right to receive updates, support and access to Pro features for a specific domain count and duration, as managed through Freemius.

  • “Freemius” – Our billing, licensing, and subscription partner, Freemius, Inc., which processes payments and manages license keys on our behalf.

  • “Third-Party Services” – Services not operated by us that integrate with the Plugin, including but not limited to OpenAI, Telegram, WordPress, hosting providers, and email services.


2. Scope of the Service

Davix AI Engine is an AI toolkit for WordPress. It adds features such as:

  • Floating chatbot and full-page chat.

  • OpenAI integration, including GPT-4o-mini by default in Free and custom models in Pro.

  • LLM Index endpoint and llm.txt for AI-grounded search.

  • Forms automation with AI replies, email replies, and Telegram alerts.

  • Comment and review auto-replies.

  • Telegram human handoff / live chat.

  • AI Writer tools inside Gutenberg.

  • Additional tools, settings, and debug logs.

The exact list of features may change over time as we release updates.


3. Acceptance of Terms

By installing, activating, or using the Plugin, or by purchasing a License through Freemius, you confirm that:

  1. You are at least 18 years old and have the legal capacity to enter into these Terms, or you act on behalf of an entity with such capacity; and

  2. You have read, understood, and agree to be bound by these Terms and any policies referenced here (such as our Privacy Policy and Refund Policy).

If you do not agree, you must not install or use the Plugin.


4. Changes to the Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page.

  • Continued use of the Site or Plugin after changes become effective means you accept the revised Terms.

  • If you do not agree with the updated Terms, you must stop using the Plugin and, if applicable, cancel your subscription.


5. Account, Checkout & Freemius

5.1 Freemius Account

Purchases, license keys, and subscription management are handled by Freemius on our behalf.

  • During checkout, you may be asked to create or log in to a Freemius account.

  • Your billing information is processed directly by Freemius and not stored on our servers.

  • Your use of Freemius is also governed by their own Terms of Service and Privacy Policy, accessible on the checkout form or at their website.

We are not responsible for any errors, outages, or issues that are solely due to Freemius systems.

5.2 License Keys

  • After purchasing a Pro plan, Freemius issues a license key tied to your plan (e.g., 1-site, 3-site, or 20-site).

  • The license key controls access to Pro features, updates, and support.

  • You must keep your license key confidential and must not share, resell, or publicly post it.

We reserve the right to suspend or revoke license keys that are misused or shared beyond the allowed site limit.


6. License & WordPress Plugin Licensing

6.1 GPL for Plugin Code

Unless otherwise stated, the main Plugin code is licensed under the GNU General Public License v2 or later (GPL-2.0+). The GPL governs your rights to use, modify, and distribute the code.

6.2 Commercial License for Updates & Pro Features

  • Your payment grants you a time-limited, non-exclusive, non-transferable License to access:

    • Pro features;

    • Automatic updates;

    • Priority support,
      in line with the plan you have purchased.

  • This commercial License is separate from the open-source GPL license for the code itself and is managed via Freemius.

You may use the Plugin only on the number of sites allowed by your Freemius plan.


7. Subscriptions, Renewals & Cancellation

7.1 Subscription Term

  • Licenses are typically sold as recurring subscriptions (e.g., yearly or monthly) via Freemius.

  • The exact term and billing period are shown on the pricing and checkout pages.

7.2 Automatic Renewal

  • Unless you disable auto-renewal in your Freemius account, your subscription may automatically renew at the end of each term.

  • Freemius will attempt to charge the payment method you provided.

7.3 Cancellation

  • You may cancel your subscription at any time via your Freemius account or via the link in your purchase email.

  • When you cancel:

    • You will continue to have access to Pro features and support until the end of the current paid term.

    • After the term, the license will expire; the Plugin may continue working, but Pro features, updates, and support may be disabled.

7.4 Refunds

Refunds, if any, are granted according to our Refund Policy as displayed on the Site and/or the Freemius checkout page.

  • We reserve the right to deny refund requests that fall outside the conditions described there.

  • Freemius may act as the merchant of record and handle refund processing on our behalf.


8. Delivery, Updates & Compatibility

  • The Plugin is delivered digitally via download, typically through your Freemius account or directly inside WordPress (Plugins → Add New → upload .zip or by searching the repository for the Free version).

  • Updates may be delivered:

    • Via the WordPress updates system; and/or

    • Via Freemius (for Pro features and licensing components).

  • You are responsible for keeping WordPress, PHP, and the Plugin up to date.

We aim to maintain compatibility with the latest stable versions of WordPress and PHP as listed in the Plugin’s readme, but we cannot guarantee compatibility with every theme, plugin, or hosting environment.


9. Use of AI & Third-Party Services

9.1 OpenAI & Other AI Providers

The Plugin connects to OpenAI and potentially other AI providers via their APIs. When you configure these integrations:

  • You must supply your own API keys and abide by each provider’s terms of service and acceptable use policies.

  • Any content generated by these AI services is your responsibility. You must review it before publishing or relying on it.

  • We are not liable for any inaccuracies, harmful or offensive content, or policy violations arising from AI-generated output.

9.2 Telegram and Messaging Services

If you enable Telegram handoff, alerts, or live chat:

  • You are responsible for creating and securing your own Telegram bots, channels, and accounts.

  • We are not responsible for messages sent and received through Telegram or any other messaging platform.

9.3 Other Third-Party Services

The Plugin may integrate with external services such as:

  • Email service providers

  • Hosting providers

  • Other WordPress plugins (e.g., forms, WooCommerce)

Use of these services is governed by their respective terms. We do not control and are not responsible for third-party services.


10. Acceptable Use

You agree not to use the Plugin or the Site to:

  1. Violate any applicable laws or regulations.

  2. Infringe the intellectual property or privacy rights of others.

  3. Distribute malware, spam, or fraudulent content.

  4. Harass, abuse, or harm other people.

  5. Attempt to reverse engineer or bypass the licensing mechanisms in Freemius or in the Plugin.

  6. Share, resell, or sub-license license keys beyond what your purchased plan allows.

We may suspend or terminate access to the Plugin or your license if we reasonably believe you violate these rules.


11. Support

  • Support for Pro customers is provided through the channels listed on the Site (for example, support tickets or email).

  • We will make reasonable efforts to respond to support requests, but we do not guarantee response times or that all issues will be resolved.

  • Support does not include custom development, custom integrations, or bespoke consulting unless explicitly agreed in writing.


12. Intellectual Property

Except for components provided under open-source licenses (e.g., GPL-licensed code, third-party libraries), all rights, title, and interest in and to:

  • The Davix brand, logos, and visual identity;

  • The Site design and content;

  • The Plugin name “Davix AI Engine” and associated branding;

  • Proprietary parts of the Plugin (including design, UX, documentation, and non-GPL assets such as images and icons),

are owned by [Your Legal Company Name] or its licensors.

You may not use our trademarks, branding, or logos without our prior written consent.


13. Data & Privacy

Your use of the Site and Plugin is also subject to our Privacy Policy, which describes how we collect, use, and protect personal data.

  • Some data (such as license activations, anonymous usage statistics, and technical information) may be collected and processed via Freemius to manage licenses and improve the Plugin.

  • You are responsible for configuring and using the Plugin in compliance with applicable data protection laws (for example, GDPR if you operate in the EU).


14. Disclaimers

To the maximum extent permitted by law:

  1. The Site and Plugin are provided “as is” and “as available” without warranties of any kind, whether express or implied.

  2. We do not warrant that:

    • The Plugin will be error-free or uninterrupted;

    • The Plugin will be compatible with every theme, plugin, hosting environment, or third-party service;

    • AI-generated content will be accurate, complete, or suitable for any particular purpose.

You are solely responsible for:

  • Backing up your site and data before installing or updating the Plugin;

  • Reviewing AI-generated content;

  • Ensuring your use of the Plugin complies with applicable laws.


15. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use or inability to use the Plugin, even if we have been advised of the possibility of such damages.

  • Our total aggregate liability under these Terms, for all claims combined, shall not exceed the total amount you paid for the Plugin in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be excluded under applicable law.


16. Indemnification

You agree to indemnify, defend, and hold harmless [Your Legal Company Name], its officers, directors, employees, contractors, and partners from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

  • Your use of the Site or Plugin;

  • You materially breach these Terms;

  • You misuse or share license keys;

  • Required payments fail or are reversed; or

  • We decide, at our sole discretion, to discontinue the Plugin.

Upon termination:

  • Your right to use Pro features, updates, and support will cease.

  • Sections that, by their nature, should survive termination (e.g., Disclaimers, Limitation of Liability, Indemnification, Governing Law) will continue to apply.


18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Country / State], without regard to its conflict of law principles.
